Acceptance of Terms
Welcome to Reset. Transform. RISE!®, operated by The Foval Group LLC dba Reset. Transform. RISE! Life Transformation and Coaching Services ("Company," "we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of the website located at resettransformrise.com (the "Site"), as well as any services, content, products, and communications we make available through the Site (collectively, the "Services").
By accessing or using the Site, creating an account, scheduling a session, engaging our Services, or clicking "I Agree," you represent that you have read, understood, and agree to be bound by these Terms, our Notice of Privacy Practices, and our Social Media Policy. These Terms constitute a legally binding agreement between you and The Foval Group LLC.
If you do not agree to these Terms, you must immediately cease using the Site and our Services. Your continued use of the Site after we post updated Terms constitutes your acceptance of those changes.
No Therapeutic Relationship — Critical Disclaimer

A. Website Use Does Not Create a Professional Relationship
Accessing, browsing, reading, or interacting with the content of this Site — including blog posts, articles, videos, downloadable resources, social media links, or any other materials — does NOT create a therapist-client, counselor-client, coach-client, attorney-client, or any other professional relationship between you and The Foval Group LLC, Scott B. Foval, or any affiliated professional.
B. No Clinical Services via Website
No clinical mental health therapy, addiction counseling, psychotherapy, diagnosis, treatment, or medical advice is provided through this website. The informational content on this Site is provided for general educational purposes only and does not constitute professional advice. You should not rely on any information found on this Site for making decisions about mental health treatment, medication, substance use, or any other healthcare matter.
C. Professional Relationship Requires Formal Intake
A professional therapeutic, counseling, or coaching relationship with Reset. Transform. RISE!® is established only upon: (1) completion of a formal intake process; (2) execution of a written informed consent agreement; (3) verification of eligibility and licensure; and (4) explicit written confirmation from an authorized clinician. Submitting a contact form, sending an email inquiry, or requesting information does not establish a professional relationship.
D. General Information Is Not Personalized Advice
Any general information, tools, or resources provided on this Site have not been tailored to your individual circumstances. What works for one person may not be appropriate for another. Always consult a qualified, licensed mental health professional before acting on any information you encounter on this Site.
E. Coaching vs. Therapy Distinction
Life coaching and business consulting services offered by Reset. Transform. RISE!® are distinct from licensed psychotherapy and mental health counseling. Coaching is a forward-focused, goal-oriented, and non-clinical service. Coaching does not diagnose or treat mental health conditions, is not a substitute for therapy, and is not regulated in the same manner as licensed mental health services. Clients with active mental health conditions are encouraged to work concurrently with a licensed therapist.
Description of Services
The Foval Group LLC dba Reset. Transform. RISE!® offers the following services through its website and directly to clients:
Clinical Services
Individual mental health therapy (pre-licensed, under supervision); Addiction counseling (LADC, 245G-authorized); Integrated dual diagnosis support; Telehealth and in-person sessions
Non-Clinical Services
Certified life coaching (CLC); Business consulting and strategic development; Personal transformation programs; Leadership and executive coaching
All clinical mental health and addiction counseling services are delivered by Scott B. Foval, MPS, LADC, CLC, a pre-licensed psychotherapist practicing under required clinical supervision per Minnesota BBHT licensing requirements (License #306716). Supervision is provided by a fully licensed mental health professional as required by Minn. Stat. § 148B.08.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services.
Eligibility Requirements
To use this Site and our Services, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction), or have verifiable parental/guardian consent for minors where applicable under Minnesota law
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from receiving our Services under applicable law
- Provide accurate, current, and complete information during registration and intake
- For clinical telehealth services: be physically located in a state where the clinician holds active licensure at the time of your session (currently Minnesota)
We reserve the right to refuse service to anyone for any lawful reason. We may verify your location and eligibility for telehealth services prior to initiating clinical services.
Licensing, Jurisdiction & Telehealth Law
Minnesota Licensure
Scott B. Foval is licensed by the Minnesota Board of Behavioral Health and Therapy (BBHT) as a Licensed Alcohol and Drug Counselor (LADC) and is a pre-licensed psychotherapist practicing under supervision. MN-BBHT License #306716. Clinical services are provided in compliance with Minnesota statutes governing licensed mental health practice (Minn. Stat. § 148B) and substance use disorder counseling (Minn. Stat. § 148F).
Jurisdictional Limitation
Mental health therapy and addiction counseling services via telehealth are governed by the physical location of the client at the time of the session. Under Minnesota law and applicable telehealth regulations, clinical services may only be provided to clients who are physically located in a state where the clinician holds active licensure. Currently, clinical telehealth services are available to clients physically located in Minnesota. Life coaching and business consulting services may be available across broader jurisdictions as these are non-clinical and generally not subject to state licensure restrictions.
Out-of-State Clients
If you are located outside of Minnesota, you may not receive clinical mental health therapy or addiction counseling services from this practice unless and until the Practice has obtained appropriate licensure in your state. Coaching and consulting services may be available; please contact us to discuss your situation.
Delaware Registration
The Foval Group LLC is registered in the State of Delaware. The Company maintains a registered agent at 131 Continental Drive, Suite 305, Newark, DE 19713, in compliance with Delaware corporate law (Del. Code Title 8). The Company is qualified to do business in Minnesota as a foreign entity conducting business within that state.
Telehealth Services — Terms & Requirements
HIPAA-Compliant Platforms Only
All telehealth therapy and counseling sessions are conducted exclusively via HIPAA-compliant, encrypted video conferencing platforms with executed Business Associate Agreements (BAAs). You agree to participate in sessions only through platforms approved and communicated by our practice. Using non-approved technology to attempt to access clinical sessions is prohibited.
Your Technology Responsibilities
You are responsible for ensuring you have access to:
- A reliable internet connection adequate for video conferencing
- A device with working camera and microphone
- A private, quiet location where you can speak confidentially during sessions
- The approved telehealth platform installed and functional before your session
Location Verification
You agree to truthfully disclose your physical location at the start of each telehealth session. Providing false information about your location to circumvent licensure requirements constitutes a material breach of these Terms and may result in immediate termination of services without refund.
Recording Prohibition
You may not record, capture, screenshot, or otherwise preserve any telehealth session — in whole or in part — without prior explicit written consent from the clinician. Unauthorized recording violates Minnesota wiretapping law (Minn. Stat. § 626A.02) and constitutes a breach of these Terms. We likewise will not record sessions without your informed written consent.
Telehealth Informed Consent
Prior to your first telehealth session, you will be required to execute a separate Telehealth Informed Consent document acknowledging the benefits, risks, limitations, and technology requirements of telehealth services. This is required under Minnesota BBHT clinical practice guidelines.
Intellectual Property & Content Protection
Our Proprietary Rights
All content on this Site — including but not limited to the name Reset. Transform. RISE!®, resettransformrise.com, Reset. Transform. RISE! Life Transformation and Coaching Services®, website design, layout, graphics, logos, text, blog posts, articles, videos, worksheets, tools, training materials, course content, and all other materials — are the exclusive intellectual property of The Foval Group LLC and are protected by U.S. and international copyright law, trademark law, and other applicable intellectual property statutes.
The marks Reset. Transform. RISE!® and Reset. Transform. RISE! Life Transformation and Coaching Services® are registered trademarks (or marks in use with claim of rights) of The Foval Group LLC. Unauthorized use of these marks is prohibited.
Limited License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes. This license does not include the right to:
- Copy, reproduce, distribute, or publicly display any content without prior written permission
- Create derivative works based on Site content
- Use content for commercial purposes or on behalf of any third party
- Remove, alter, or obscure any copyright, trademark, or proprietary notice
- Systematically download or scrape Site content using automated tools
- Frame or embed the Site or its content on any other website without written consent
User-Submitted Content
If you submit comments, testimonials, questions, or other content to this Site, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, and display such content for business purposes. You represent that you own or have the right to submit such content and that it does not violate any third party's rights.
User Conduct & Prohibited Activities
You agree not to use this Site or our Services to:
- Violate any applicable federal, Minnesota, Delaware, or local law or regulation
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Transmit any unsolicited commercial communications (spam)
- Upload or transmit viruses, malware, or any code designed to disrupt, damage, or interfere with the Site
- Attempt to gain unauthorized access to any portion of the Site or our systems
- Harass, threaten, intimidate, or harm any person associated with the Practice
- Post or share confidential or private information about other clients or third parties
- Use the Site to solicit other clients for competing services
- Misrepresent your location, identity, or clinical history when seeking clinical services
- Use the Site in any manner that could damage the reputation or operations of The Foval Group LLC
Privacy, HIPAA & Data Use
Your privacy is critically important to us. Our collection, use, and protection of your personal and protected health information (PHI) is governed by our Notice of Privacy Practices, incorporated herein by reference. By using our Services, you consent to the practices described in that Notice. Key privacy commitments include:
- Clinical records are protected under HIPAA (45 C.F.R. Parts 160 & 164) and Minn. Stat. § 144.293
- Substance use disorder records are protected under the more stringent 42 C.F.R. Part 2
- All electronic communications are conducted via encrypted channels
- We do not sell, rent, or trade your personal or health information to third parties for commercial purposes
- Website analytics data (e.g., anonymous usage statistics) may be collected to improve the Site
Fees, Payment & Cancellation Policy
Fee Disclosure
Service fees are disclosed during the intake process and in your service agreement. Fees may be subject to change with reasonable advance notice. We offer sliding scale fees for eligible clients on a case-by-case basis; availability is not guaranteed.
Insurance & Self-Pay
Where applicable, we bill accepted health insurance plans in compliance with Minn. Stat. § 62A.673, which requires health plans to cover telehealth services on parity with in-person care. Clients are responsible for verifying their insurance benefits prior to service. For self-pay clients, payment is due at or before the time of service unless otherwise arranged in writing.
Cancellation & No-Show Policy
We require at least 24 hours' advance notice to cancel or reschedule an appointment. Cancellations with less than 24 hours' notice, and no-shows, may be subject to a cancellation fee as specified in your service agreement. Emergency situations are evaluated on a case-by-case basis.
Good Faith Estimate (No Surprises Act)
You have the right to receive a "Good Faith Estimate" explaining how much your care will cost under the No Surprises Act (42 U.S.C. § 300gg-111). For clients who are uninsured or who choose not to use insurance, we will provide a Good Faith Estimate before scheduling services. You may dispute a bill that exceeds your Good Faith Estimate by $400 or more.

THE SITE AND ALL SERVICES, CONTENT, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Site will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Site or the servers that make it available are free of viruses or other harmful components; or (d) any information on the Site is accurate, complete, reliable, current, or non-infringing.

IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US FOR SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some of the above exclusions or limitations may not apply.
Indemnification
You agree to defend, indemnify, and hold harmless The Foval Group LLC and its members, officers, employees, agents, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site or Services; (c) your violation of any third party's rights; (d) your violation of any applicable law or regulation; or (e) any content you submit to the Site.
Termination of Access
We reserve the right to terminate or suspend your access to the Site and Services, without prior notice or liability, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, all licenses granted to you under these Terms will immediately cease.
You may terminate your use of our Services at any time by providing written notice. Termination of a therapeutic relationship is governed by the terms of your clinical service agreement and applicable professional ethics standards, and will include appropriate clinical transition planning where required.
Dispute Resolution
Informal Resolution
Before initiating any formal dispute resolution process, you agree to first attempt to resolve any dispute by contacting us at RTRCounseling@proton.me with a written description of the dispute. We will make good-faith efforts to resolve the matter informally within thirty (30) days.
Arbitration Agreement
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or JAMS, at the Company's election. Arbitration shall be conducted in New Castle County, Delaware, or via remote proceedings. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If any court or arbitrator finds that this class action waiver is unenforceable, then the arbitration agreement shall be null and void with respect to any dispute as to which the waiver is found unenforceable.
Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the completion of arbitration. Claims or complaints relating to professional licensing may be filed with the appropriate state licensing board without waiving arbitration rights.
Governing Law & Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles, except that: (a) issues related to the professional practice of psychology, mental health counseling, and addiction counseling shall be governed by the applicable laws and regulations of the State of Minnesota; and (b) matters pertaining to HIPAA, 42 C.F.R. Part 2, and federal telehealth regulations shall be governed by applicable federal law.
For any matters not subject to arbitration, you consent to personal jurisdiction in the state and federal courts located in New Castle County, Delaware, or Hennepin County, Minnesota, as applicable.
Modifications to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Revised" date at the top of this page and, where appropriate, by providing notice via email or a prominent notification on the Site. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site immediately.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Entire Agreement: These Terms, together with our Notice of Privacy Practices and Social Media Policy, constitute the entire agreement between you and The Foval Group LLC with respect to your use of this Site and our Services, and supersede all prior agreements.
